Terms of Use
These Terms of Use ("Terms") govern your access to and use of Waroom's incident management platform, operated by Waroom, Inc. ("Waroom", "we", "us"). By using the service you agree to these Terms.
1. Eligibility
You must be at least 16 years old and authorised to enter into binding agreements on behalf of yourself or your organisation. By creating an account you represent that these conditions are met.
2. Your Account
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@waroom.co if you suspect unauthorised access.
You may not share login credentials, use automation to create accounts in bulk, or impersonate another person or organisation.
3. Acceptable Use
You agree not to:
- Violate any applicable law or regulation.
- Transmit malware, spam, or otherwise interfere with the service or other users.
- Attempt to gain unauthorised access to any part of the service or its infrastructure.
- Reverse-engineer, decompile, or create derivative works from the service.
- Resell or sublicense the service without prior written consent from Waroom.
4. Subscription & Billing
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as stated in our refund policy. We may change pricing with 30 days' written notice.
If payment fails, your account may be downgraded or suspended after a grace period. Waroom is not liable for data loss resulting from suspension due to non-payment.
5. Your Data
You retain ownership of all data you input into Waroom. You grant Waroom a limited, non-exclusive licence to store, process, and display that data solely for the purpose of providing the service. See our Privacy Policy for details on how we handle your data.
6. Intellectual Property
Waroom and its licensors own all rights to the platform, including software, design, trademarks, and documentation. Nothing in these Terms transfers ownership of Waroom's intellectual property to you.
7. Uptime & Service Levels
We target 99.9% monthly uptime for paid plans. Scheduled maintenance windows and events outside our reasonable control (force majeure) are excluded from uptime calculations. We do not guarantee uninterrupted service and are not liable for damages caused by outages.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAROOM'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO WAROOM IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WAROOM BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Termination
You may close your account at any time from the billing settings. Waroom may suspend or terminate your account for material breach of these Terms, with or without notice depending on severity.
On termination, your data will be retained for 30 days to allow export, then deleted per our Privacy Policy.
11. Changes to These Terms
We may update these Terms. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware.
